Terms of Service

1 Scope of Engagement

These Terms of Service ("Terms") govern your use of PenguinEye services, including custom ERP development, web applications, mobile applications, digital marketing, and cloud deployment solutions. By executing a Statement of Work (SOW) or accessing our platforms, you agree to comply with these terms.

2 Intellectual Property & Code Ownership

We pride ourselves on complete client ownership:

• Custom Deliverables: Upon final milestone settlement, the client holds 100% intellectual property rights, copyright, and source code ownership for custom modules, frontend interfaces, and database architectures created specifically for them.
• Third-Party & Open-Source Libraries: Open-source components (such as Astro, React, PostgreSQL, TailwindCSS) remain licensed under their respective open-source licenses (MIT, Apache 2.0, BSD).
• Client Assets: All trademarks, branding, marketing copy, and media files supplied by the client remain the exclusive property of the client.

3 Project Milestones & Payment Terms

Our development lifecycle operates on transparent milestones:

• Project kickoff requires an upfront deposit as specified in the signed proposal.
• Intermediate deliverables undergo client demonstration and testing prior to release of corresponding milestone funds.
• Final production deployment and full source code handover occur upon full settlement of the final milestone.
• Invoices are payable within 14 calendar days of issuance via bank wire, credit card, or agreed payment channel.

4 Warranty & Bug Remediation

PenguinEye provides a 30-day post-launch warranty on all custom software deliveries. During this warranty window, our engineers will repair any verifiable software defects or functional deviations from the agreed specifications at zero additional cost.

5 Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of Bangladesh. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in Dhaka, Bangladesh.
